By requesting a quotation, tendering cargo, or otherwise engaging the Company&#8217;s services, the Customer accepts these Terms in full. These Terms apply to every quotation, booking confirmation, invoice, and transport document issued by the Company. They are governed by the laws of the State of Texas, United States.<\/p>\n<p><strong>1. Definitions<\/strong><br \/>\n1.1. Company: TranspoTrade International, including its subsidiaries, affiliates, agents, and representatives.<br \/>\n1.2. Customer: Any individual or entity that contracts with the Company for services, including shippers, consignees, importers, exporters, and other related parties.<br \/>\n1.3. Services: All logistics services provided by the Company, including but not limited to freight forwarding, customs brokerage, transportation, warehousing, and advisory services.<br \/>\n1.4. Third Party: Any external entity engaged by the Company to perform parts of the services, such as carriers, warehouse operators, and customs agents.<br \/>\n1.5. Goods: The items that are the subject of the services provided, including their packaging and containers.<br \/>\n1.6. Dangerous Goods: Goods that are or may become hazardous, flammable, radioactive, or otherwise dangerous, including those classified under applicable laws or regulations.<br \/>\n1.7. Hague Rules: The International Convention for the Unification of Certain Rules Relating to Bills of Lading, signed at Brussels on August 25, 1924.<br \/>\n1.8. Montreal Convention: The Convention for the Unification of Certain Rules for International Carriage by Air, signed at Montreal on May 28, 1999, and its predecessor the Warsaw Convention dated October 12, 1929, as amended.<\/p>\n<p><strong>2. Applicability<\/strong><br \/>\n2.1. These Terms apply to all services provided by the Company unless otherwise agreed in writing. They take precedence over any terms provided by the Customer unless a specific written agreement states otherwise.<br \/>\n2.2. Where any legislation is compulsorily applicable to any business undertaken, these Terms shall be read as subject to such legislation, and nothing in these Terms shall be construed as a surrender by the Company of any right or immunity, or as an increase of any responsibility or liability, under such legislation.<\/p>\n<p><strong>3. Company&#8217;s Role<\/strong><br \/>\n3.1. Agent Role: The Company acts as the Customer&#8217;s agent in matters relating to customs clearance and transportation.<br \/>\n3.2. Independent Contractor: For all other services, the Company operates as an independent contractor and is not liable for third-party actions unless it neglects due diligence.<br \/>\n3.3. The Company is not a common carrier and reserves the right to accept or refuse to perform any services in relation to the Goods at its discretion.<\/p>\n<p><strong>4. Quotations and Rates<\/strong><br \/>\n4.1. All quotations are estimates based on current rates and conditions and are subject to change without prior notice unless explicitly confirmed in writing.<br \/>\n4.2. The Company reserves the right to adjust fees based on changes in costs, tariffs, or exchange rates.<br \/>\n4.3. Quotations or offers shall lapse unless accepted by the Customer in writing and confirmed by the Company in writing within seven (7) calendar days of the date of the quote or offer. A revised or re-issued quotation supersedes all prior quotations and restarts the acceptance period in this clause.<\/p>\n<p><strong>5. Customer Obligations<\/strong><br \/>\n5.1. Accurate Information: The Customer must provide accurate and complete information regarding the Goods and their handling requirements.<br \/>\n5.2. Compliance: The Customer is responsible for ensuring that all applicable laws, regulations, and standards are met.<br \/>\n5.3. Indemnification: The Customer agrees to indemnify and hold the Company harmless from any claims or losses arising from inaccurate or incomplete information provided.<br \/>\n5.4. Dangerous Goods: The Customer must disclose if the Goods are classified as Dangerous Goods and comply with all applicable regulations for their transport.<\/p>\n<p><strong>6. Limitation of Liability<\/strong><br \/>\n6.1. Unless a higher value is declared in writing by the Customer before shipment and an additional valuation charge is paid, the Company&#8217;s liability for any loss or damage to the Goods is limited to the lesser of (a) the actual value of the Goods, (b) USD 500 per package or customary freight unit for ocean carriage, or (c) USD 20 per kilogram of gross weight of the Goods lost or damaged for air or other carriage. Where the Customer declares a higher value and pays the applicable charge, the Company&#8217;s liability shall not exceed that declared value.<br \/>\n6.2. The Company is not liable for the acts or omissions of third parties unless the Customer proves the Company failed to exercise reasonable care in their selection or instruction.<br \/>\n6.3. The Company shall not be liable for loss or damage arising from: act of God, force majeure, or any cause beyond the Company&#8217;s control; insufficient or improper packing or labeling; handling, loading, stowage, or unloading of the Goods by the Customer or third parties; inherent vice or nature of the Goods; or any consequential, indirect, or special damages of any kind, including lost profits.<br \/>\n6.4. Force Majeure and Pass-Through Costs. The Company is not liable for any delay, loss, or failure to perform caused by events beyond its reasonable control, including war, terrorism, civil unrest, strikes, labor disputes, port or carrier congestion, weather, natural disaster, pandemic, government action, or carrier default. All demurrage, detention, per diem, storage, congestion surcharges, and general average contributions assessed by carriers, ports, or terminals are for the Customer&#8217;s account and are payable on demand.<\/p>\n<p><strong>7. Insurance<\/strong><br \/>\n7.1. The Company will not procure insurance for the Goods unless expressly instructed and agreed upon in writing by the Customer.<br \/>\n7.2. All insurance arranged by the Company is subject to the standard terms and conditions of the relevant insurance providers.<br \/>\n7.3. The Customer is advised to obtain appropriate insurance coverage for their Goods.<\/p>\n<p><strong>8. Claims and Disputes<\/strong><br \/>\n8.1. Notice and Time Bar. The Customer must give the Company written notice of any claim for loss or damage: for apparent loss or damage, at the time of delivery; for non-apparent loss or damage, within seven (7) days of delivery. In all cases, any suit against the Company must be commenced within nine (9) months of delivery of the Goods, or of the date the Goods should have been delivered, except where a longer period is mandatorily applicable by law, in which case that longer period applies. Failing timely commencement, the claim is time-barred and waived.<br \/>\n8.2. Failure to give notice within the periods above does not excuse the time bar in 8.1.<br \/>\n8.3. All disputes shall be governed by the laws of the State of Texas and resolved exclusively in the state or federal courts located in Harris County, Texas.<\/p>\n<p><strong>9. Payment Terms<\/strong><br \/>\n9.1. Payment Obligations: Payments for Services must be made in full in accordance with the payment terms stated on the Company&#8217;s quotation, invoice, or booking confirmation. Where no credit terms have been established and confirmed in writing by the Company, payment is due in full prior to release or final delivery of the Goods.<br \/>\n9.2. New Accounts and Credit: Credit terms are not automatic and are extended solely at the Company&#8217;s discretion. Until the Customer has completed the Company&#8217;s credit approval process and received written confirmation of approved terms, all Services are provided on a prepayment basis, with payment due in full before the Goods are released for final delivery. The Company may require the successful completion and payment of one or more shipments before considering any extension of credit.<br \/>\n9.3. Payment as Condition of Release: The Company is not obligated to release, deliver, or arrange final delivery of any Goods until all charges relating to the shipment have been paid in full. Retention of Goods pending payment under this provision is a contractual right and does not constitute wrongful detention.<br \/>\n9.4. General Lien: The Company holds a general and particular lien on all Goods in its possession for unpaid charges, whether relating to the current shipment or any prior shipment. The Company may exercise and enforce this lien in accordance with applicable law, including the sale or disposal of the Goods to recover outstanding amounts after notice as required by law.<br \/>\n9.5. Late Payment: Delays or defaults in payment may result in interest charges and additional penalties as stated on the Company&#8217;s invoice or as permitted by law.<br \/>\n9.6. Recovery Costs: The Customer shall be responsible for all costs, including legal fees, incurred by the Company in recovering unpaid amounts.<\/p>\n<p><strong>10. Governing Law and Jurisdiction<\/strong><br \/>\nThese Terms are governed by the laws of the State of Texas, and all disputes shall be resolved exclusively in the state or federal courts located in Harris County, Texas.<\/p>\n<p><strong>11. Amendments and Modifications<\/strong><br \/>\nAny modifications to these Terms must be in writing and signed by both the Customer and the Company. Any unilateral changes made by the Customer will be deemed invalid.<\/p>\n<p><strong>12. Severability<\/strong><br \/>\nIf any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.<\/p>\n<p><strong>13. Entire Agreement<\/strong><br \/>\nThese Terms constitute the entire agreement between the Company and the Customer regarding the services and supersede all prior agreements and understandings, whether written or oral.<\/p>\n<p><strong>14. Waiver<\/strong><br \/>\nThe failure of either party to enforce any provision of these Terms shall not be construed as a waiver of that provision or any other provision, nor of the right to enforce such provision.<\/p>\n<p><strong>15. Confidentiality<\/strong><br \/>\nBoth parties agree to keep confidential any proprietary information received from the other party in the course of performance of these Terms, except as required by law or as necessary to perform the services.
